Advance Notice of a Portion of a Meeting
under Expedited Procedures

It is anticipated that a portion of the closed meeting of the Board of Governors of the Federal Reserve System on Monday, March 26, 2001, will be held under expedited procedures, as set forth in section 26lb.7 of the Board's Rules Regarding Public Observation of Meetings, at the Board's offices at 20th Street and C Streets, N.W., Washington, D.C. The following items of official Board business are tentatively scheduled to be considered at that meeting.

NOTE: TODAY'S MEETING HAS BEEN CANCELED; THE ITEMS BELOW ARE BEING PROCESSED BY TELEPHONE VOTE.

Matters to be Considered:
1. Application by Bank Hapoalim, B.M. and Zohar Hashemesh Le'Hashkaot Ltd., both in Tel Aviv, Israel; Hapoalim U.S.A. Holding Company, Inc., New York, New York; and Arison Holdings (1998) Ltd., Tel Aviv, and Israel Salt Industries Ltd., Atlit, both in Israel, to become bank holding companies through the acquisition of Signature Bank, New York, New York.
2. Application by Franklin Resources, Inc. ("Franklin"), San Mateo, California, to become a bank holding company through the acquisition of Fiduciary Trust Company International, New York, New York; election by Franklin to become a financial holding company; and notification by Franklin to retain interest in Franklin Templeton Bank & Trust, F.S.B., Salt Lake City, Utah.
