In an assignment, the originating bank sells all or a portion of a credit facility to a purchaser and notifies the obligor. In a participation, the originating bank sells all or a portion of a credit facility to a purchaser, but assigns only limited rights, usually related to interest rates, maturities, and principal, to the purchaser. Participants do not get the same level of control as assignees.
